My legal work with Total Merchant Resources centered on the complexities of providing business funding in an environment where underwriting decisions, merchant performance, repayment structures, and regulatory requirements could quickly create significant legal exposure. I examined funding transactions before execution, reviewing merchant information, ownership structures, financial representations, receivables, guarantees, authorization provisions, and other factors affecting the enforceability of each arrangement. Documentation was structured to clearly define the purchased interests, payment mechanisms, reconciliation rights, and responsibilities of the parties. Merchant relationships required ongoing attention after funding. Changes in processing activity, interrupted remittances, business closures, disputed withdrawals, financial hardship, and alleged contractual breaches were evaluated individually to determine the appropriate response rather than automatically treating every interruption as a default. I also advised on relationships with brokers, referral partners, payment processors, servicing providers, and other participants involved in originating and administering transactions. Compensation arrangements, marketing practices, confidentiality, information sharing, representations, and responsibility for misconduct received particular scrutiny. When collection disputes, fraud concerns, contractual claims, or regulatory questions arose, I reconstructed the transaction from applications, bank records, payment histories, communications, and executed agreements. My role was to protect Total Merchant Resources’ financial interests while ensuring that funding practices, enforcement decisions, and commercial relationships remained legally defensible.
