LLC and Corporation registration in USA
You can register your company in US as LLC or Corporation. Both are required to register with state government. Every state has different procedures, time frame and fees for business registration.
LLC means limited liability company. Its the simplest form of company. LLC form of company is recommended for small businesses. LLC is of two types, single member and multi-member. Single member LLC is taxed as Sole proprietorship or self employment. Multi member LLC is taxed as Partnership. It means members of LLC will pay LLC tax in their individual income tax return as self employment. LLC can be nominated as C-Corp by filing Form 8832 or S-Corp by filing Form 2553 with IRS.
Corporation has also two types, C-Corp and S-Corp. Corporation is by default a C-Corp. You can nominate later it as S-Corp by filing Form 2553 with IRS.
