About this Gig
Dissolve and Terminate your Texas LLC and end your Texas franchise tax reporting requirements. Basic package applies when your entity is active and in good standing and all reports are up-to-date. If not, please reach out first. Sales tax reports not included.
BASIC PACKAGE:
- Prepare Action to Dissolve, authorizing dissolution and wind up of your Texas LLC, conforming to Texas Code.
- Prepare final Texas Franchise Tax Report (no tax due) and Certificate of Account Status Request, to be filed with the Texas Comptroller.
- Prepare Certificate of Termination, to be filed with the Texas Secretary of State.
- Prepare notice to IRS
- Inform you of additional tasks required to wind up your Texas LLC under Texas law.

- Reinstate to Terminate (includes 3 max delinquent Texas Franchise Tax Reports, Application for Reinstatement, and penalty waiver request for one penalty)

Are you filing the Texas LLC Termination docs on my behalf and how much are state fees?
If you have your Webfile number, I can e-file Texas franchise reports on your behalf. All other docs are prepared to be mailed. Certificate of Termination is $40. If you must reinstate, the application is $75 and late penalties for franchise tax reports are $50 for each delinquent tax year.
How do I find my Webfile number?
Your Webfile number is printed on correspondence from the Texas Comptroller. If you do not have your Webfile number, you can call (800) 442-3453. This automated system can provide a Webfile number if you can provide confidential information from a previously filed report.
Do I need to reinstate to terminate? And are you filing the Texas LLC Reinstatement docs on my behalf and how much are state fees to reinstate?
Yes, entities must be in good standing to terminate. I will e-file Texas franchise reports if possible or prepare for mail (max 3), along with the Application for Reinstatement. Late penalties for franchise tax reports are $50 for each delinquent tax year. Application for Reinstatement fee is $75.
I need more than a final franchise report. How do I order?
There is an add on you can purchase each additional franchise tax report. You must choose the quantity you need when you order. Please reach out first to confirm amount.
Does this gig include sales tax reports?
No. There is an add on you can purchase and I will prepare your final sales tax report and provide instructions on how to close out sales permit. If you need additional reports you must choose the quantity you need when you order. Please reach out first to confirm amount.
Can you provide more information regarding your delivery timeline and what you need from me to complete the order?
Order requirements are provided upon purchase and should be filled out completely. If there is missing information, I will follow up with questions. If you do not respond in a timely manner, delivery will be made based on the information provided (with detailed instructions).
How will you deliver my documents and how do I sign them?
I will provide PDF formats for all documents. For any documents filed with the state, you will print out and sign. Documents retained in the entity's permanent records may be digitally or physically signed.
